Terms of Service

These terms are an agreement between Hearn Ventures LLC ("Roster," "we," "us") and the business you represent ("you") governing use of the Roster platform at heyroster.ai and app.heyroster.ai (the "Service"). By creating a workspace or using the Service you accept these terms and confirm you have authority to bind your business.

1. The Service

Roster lets you hire, scope, and manage AI agents that work like coworkers: they read and draft communications, track requests, use the tools you connect, and communicate with your team by chat, text message, email, and — where enabled — voice. Agents act only within the autonomy and approval limits you configure, and costs are shown before actions that spend money.

  • AI output requires supervision. Agents are capable but not infallible; they can misread context or make mistakes. You are responsible for reviewing significant outputs and for all instructions you (and your team) give them.
  • Your content stays yours. You retain all rights to the content you bring to or create with the Service. You grant us the license needed to operate the Service on your behalf — and nothing more. We do not train foundation AI models on your data.
  • Beta features may be offered as-is and may change or be withdrawn.

2. Accounts & acceptable use

  • Keep your credentials secure; you're responsible for activity in your workspace, including your team members' use.
  • Use the Service only for lawful business purposes. You may not use it to send spam or unsolicited marketing; to engage in prohibited messaging categories (including affiliate marketing, third-party lead generation, or the sale or transfer of consumer opt-in data); to harass, defraud, or impersonate; to violate others' privacy or intellectual-property rights; or to probe or disrupt the Service.
  • You must provide accurate business information — including the identity information carriers require for texting — and keep it current.

3. Text messaging program terms

Program. Roster workspace texting ("Roster Teams Texting") provides your business a dedicated phone number so enrolled members of your team can text your AI agents — sending requests, photos, and updates, and receiving replies and follow-ups related to your business operations.

  • Enrollment & consent. The workspace owner or an administrator enrolls each team member by name, role, and mobile number, and by doing so confirms that person has agreed to participate. Only enrolled numbers receive replies. Consent to receive messages is not a condition of purchasing any good or service.
  • Opt out any time: reply STOP to cancel and receive no further messages; reply START to re-enroll; reply HELP for assistance or contact support@heyroster.ai.
  • Message frequency varies with your team's usage. Message and data rates may apply according to your mobile plan.
  • Carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier network availability.
  • Privacy. Mobile numbers and opt-in data are handled as described in our Privacy Policy — never shared with third parties or affiliates for marketing or promotional purposes.
  • Your obligations. You will only enroll people who have genuinely agreed to participate, will honor requests to stop, and will use texting in compliance with applicable law (including the TCPA) and carrier rules.

4. Email

Agents may read, draft, and send email using accounts and addresses you authorize, subject to your approval settings. You are the sender of record for email your agents send on your behalf, and you agree that such email will comply with applicable law (including CAN-SPAM) — the Service provides the controls, and marketing-style sends default to requiring your approval.

5. Voice calling

  • Where enabled, agents may place and answer calls on your behalf. Agents identify themselves as AI and do not impersonate humans.
  • Calls may be recorded and transcribed to provide the Service. You are responsible for complying with call-recording consent laws applicable to you and the people your business calls.
  • No emergency calling. Roster numbers cannot reach 911 or other emergency services, and you must not rely on the Service for emergency communications.

6. Fees & billing

  • Plan pricing is shown at pricing; communication features carry usage-based charges (for example, phone numbers bill monthly and messages/calls bill per use), shown before you enable them.
  • Payments are processed by Stripe. Charges recur per your plan until you cancel. Taxes may apply. Except where required by law, fees are non-refundable.
  • We may suspend the Service for non-payment after notice.

7. Connected services

When you connect third-party tools (Google Workspace, QuickBooks, and others), your use of those tools remains governed by their terms, and you authorize us to access them as needed to provide the Service. We are not responsible for third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR VERIFYING IT BEFORE RELYING ON IT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

10. Indemnification

You will defend and indemnify us against third-party claims arising from your content, your use of the Service in violation of these terms, or your violation of law — including messaging, email, or call-recording law.

11. Termination

You may close your workspace at any time. We may suspend or terminate for material breach (with notice where practicable) or where required to protect the Service or comply with carrier or legal obligations. Sections that by their nature survive — including ownership, disclaimers, liability limits, and indemnity — survive termination.

12. Governing law & disputes

These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Williamson County, Tennessee, and each party consents to their jurisdiction.

13. Changes

We may update these terms; we'll post updates here and, for material changes, notify workspace owners by email or in the app. Continued use after changes take effect constitutes acceptance.
